Baela Terms of Service
These are Baela's Terms of Service, published openly for transparency. By accessing or using the Platform, you agree to be bound by them.
These Terms of Service (the "Terms") govern your access to and use of the Platform operated by Baela LLC ("Baela," "we," "us," or "our"), including the website at baela.app, our mobile applications, and related services, features, and content (collectively, the "Platform"). Please read these Terms carefully. By accessing or using the Platform, you agree to be bound by these Terms.
1. Acceptance of the Terms
PLEASE READ THESE TERMS CAREFULLY. THEY INCLUDE A BINDING INDIVIDUAL ARBITRATION REQUIREMENT AND A CLASS-ACTION AND JURY-TRIAL WAIVER IN SECTION 18. EXCEPT FOR CERTAIN MATTERS DESCRIBED IN THAT SECTION, YOU AND BAELA AGREE TO RESOLVE DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION RATHER THAN IN COURT, AND YOU WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION. YOU MAY OPT OUT OF ARBITRATION WITHIN 30 DAYS AS DESCRIBED IN SECTION 18.
By creating an account, accessing, or using the Platform in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms and by any policies referenced in them, including the Privacy Policy and the Cancellation Policy. These Terms form a binding agreement between you and Baela. If you do not agree to these Terms, you must not access or use the Platform.
If you accept these Terms on behalf of a business entity, you represent that you have authority to bind that entity, and "you" refers to both you and that entity.
2. Eligibility
To access or use the Platform, you must:
- Be at least 18 years of age;
- Have the legal capacity and authority to enter into a binding contract under applicable law; and
- Not be barred from using the Platform under the laws of any applicable jurisdiction or be a person previously suspended or removed from the Platform.
If you register as a Provider, you additionally represent that you are operating an independent business and that you have the authority to bind that business to these Terms and to the separate Provider Agreement, if any. The Platform is not intended for use by minors, and we do not knowingly permit anyone under 18 to use it.
3. Key Definitions
- Platform means the Baela website, applications, software, and related services that connect Providers with Clients.
- Provider means an independent beauty or wellness professional who lists, offers, or performs Services through the Platform.
- Client means a person who discovers, requests, books, or receives Services through the Platform.
- Services means the beauty, wellness, and related services that a Provider, in its sole discretion, offers and performs. Services may be performed at a Provider's own location (such as a salon, studio, suite, or rented chair) or as a mobile or in-home visit to the Client.
- Booking means a request for and scheduling of Services between a Client and a Provider made through the Platform.
- Content means any text, photos, video, "Stories" or reels, reviews, ratings, profile information, messages, or other material posted, uploaded, or transmitted through the Platform.
- Verified means that a Provider has completed the baseline checks Baela performs as described in Section 8. "Verified" status does not guarantee the identity, safety, quality, conduct, qualifications, licensing, or background of any person, and license or insurance status, where applicable, is shown per Provider.
4. Baela Is a Platform, Not a Provider
Baela is a technology platform and online marketplace that operates solely as a venue to connect independent Providers with Clients. Baela does not itself provide, perform, sell, or resell any beauty or wellness services. Baela is not a beauty or wellness business, salon, spa, staffing agency, or service provider of any kind.
Providers are independent contractors and independent businesses. Baela is not the employer, agent, partner, joint venturer, franchisor, or representative of any Provider, and no Provider is an employee, agent, or representative of Baela. Nothing in these Terms or in the operation of the Platform creates any employment, agency, partnership, or joint-venture relationship.
Baela does not perform, supervise, direct, manage, or control the Services or the manner, means, methods, location, pricing, scheduling, or quality of the Services. Each Provider, in its sole discretion, determines the Services it offers, the prices it charges, its availability, the methods and products it uses, and the location where Services are performed. Baela does not set or control these matters.
Baela is not responsible or liable for the acts, omissions, conduct, quality, safety, legality, or performance of any Provider, any Client, or any Services. Any agreement to perform or receive Services is solely between the Provider and the Client, and any dispute arising from the Services is between those parties.
5. Accounts and Registration
To access certain features, you must create an account. You agree to:
- Provide accurate, current, and complete information and keep it updated;
- Maintain the security and confidentiality of your login credentials;
- Maintain only one account unless we expressly permit otherwise;
- Be responsible for all activity that occurs under your account; and
- Notify us promptly at legal@baela.app of any unauthorized use of your account or any other breach of security.
We may refuse, suspend, or terminate any account, and may reclaim any username, at our discretion, including if we believe registration information is inaccurate or that an account has been used in violation of these Terms.
6. Provider Terms
This Section 6 applies to Providers and supplements the rest of these Terms and any separate Provider Agreement. In the event of a conflict between these Terms and a signed Provider Agreement, the Provider Agreement controls as to its subject matter.
6.1 Independent-Contractor Status
You are an independent business and independent contractor. You are not an employee, agent, partner, or joint venturer of Baela. You are not entitled to any employment benefits, workers' compensation, unemployment insurance, overtime, or other rights or protections of an employee from Baela. Baela does not impose a non-compete on you and does not restrict you from offering services through other channels. You retain full control over how you operate your business, including the Services you offer, your prices, your availability, your methods and products, and the location at which you perform Services.
6.2 Verification and Background-Check Consent
As a condition of offering Services, you authorize Baela and its third-party vendors to verify your identity and to obtain a background check. You acknowledge that the background check is performed by a third-party consumer reporting agency and that the federal Fair Credit Reporting Act (FCRA) and applicable state laws may apply. You consent to the procurement of a consumer report and, where applicable, an investigative consumer report for these purposes, and you will provide any separate disclosures and authorizations required by law. You agree to provide accurate information for these checks.
6.3 Licensing, Insurance, and Compliance
You are solely responsible for obtaining and maintaining all licenses, registrations, certifications, permits, and insurance required by law for the Services you provide in your jurisdiction, and for complying with all applicable laws, regulations, and health and safety requirements. You acknowledge that licensing requirements vary by service and jurisdiction, and that some services (for example, natural-hair braiding) are license-exempt in many states. Baela does not require, and does not represent that you hold, any credential that the law does not require for your Services. Where licensing or insurance is required by law for your Services and jurisdiction, Baela may verify and display that status. Providers must also carry general and professional liability insurance of at least $1,000,000 per occurrence and $2,000,000 in the aggregate, and provide a certificate of insurance before their first Booking.
6.4 Fees, Commission, and Payouts
- Baela charges Providers a commission of 15% per Booking; Providers in the founding cohort (the first 100) are charged 10%, locked for the life of their account.
- You keep 100% of tips paid by Clients through the Platform.
- Payments are processed by our third-party payment processor (Stripe). The Client's card is authorized at Booking and captured after the Services are performed.
- You may elect same-day or instant payouts for a fee of approximately 1.5%, or standard payouts within one to two business days at no additional fee.
- Baela may place holds on, reverse, or offset payouts in cases of suspected fraud, chargebacks, disputes, refunds owed, or violations of these Terms.
6.5 Taxes
You are solely responsible for determining, collecting, reporting, and remitting all taxes associated with your Services and earnings, including income and self-employment taxes and any applicable sales taxes. Where required, Baela or its payment processor may issue an IRS Form 1099 or other tax form reporting amounts paid to you. Baela does not withhold taxes on your behalf.
6.6 Provider Content and Clients
Your Content is governed by Section 12. Subject to the Provider Agreement, your client relationships are yours, and these Terms do not assign your clients to Baela. Any portability of client relationships is subject to the Provider Agreement and to the anti-circumvention terms in Sections 7 and 11, which require Bookings introduced through the Platform to be transacted through the Platform.
6.7 Provider Conduct and Suspension
You agree to perform Services professionally, lawfully, and as represented, and to comply with Section 13. Baela may suspend, restrict, or remove your account or listings for violations of these Terms, for risk or safety concerns, or as otherwise permitted in Section 20.
7. Client Terms
This Section 7 applies to Clients and supplements the rest of these Terms.
- Booking and payment authorization. When you book Services, you authorize Baela and its payment processor to place an authorization hold on your payment method at the time of Booking and to capture payment after the Services are performed, including the Service price, any applicable taxes and fees, and any tip you choose to add.
- Deposits and cancellation. Providers may require a deposit. A two-sided cancellation policy applies and is enforced through the Platform. If you cancel late or fail to attend, you may forfeit your deposit and may be charged a fee; if a Provider cancels or reschedules late, you may be refunded as provided in the Cancellation Policy.
- Safe access for in-home visits. If you book a mobile or in-home visit, you agree to provide a safe, lawful, and reasonable environment for the Provider to perform the Services and to disclose any conditions relevant to the safe performance of the Services.
- Honest reviews. Any review or rating you submit must be truthful and based on your genuine experience.
- No circumvention. You agree not to arrange or pay for Services introduced through the Platform off-platform in order to avoid fees, as described in Section 11.
- Conduct. You agree to comply with Section 13.
8. Verification and Background Checks
To support the integrity of the marketplace, Baela performs certain baseline checks on Providers, which may include identity and "know your customer" (KYC) verification, a background check conducted by a third-party consumer reporting agency in accordance with the FCRA and applicable law, and verification of license and insurance status where required by law for a given Service and jurisdiction. A Provider's "Verified" status reflects only the baseline checks that were performed, and any license or insurance status is displayed per Provider where it applies.
IMPORTANT: BAELA DOES NOT GUARANTEE THE IDENTITY, SAFETY, QUALITY, CONDUCT, QUALIFICATIONS, BACKGROUND, OR SUITABILITY OF ANY PROVIDER OR CLIENT. Background checks and verifications have inherent limitations, may not reflect all relevant information, and are accurate only as of the date performed. Verification by Baela is not an endorsement, certification, or guarantee of any person or of any Service. You are solely responsible for evaluating the persons with whom you interact and the Services you provide or receive, and you assume the risk of any in-person interaction or Service.
9. Safety Tools; Assumption of Risk for In-Person Services
For in-person and mobile or in-home interactions, Baela offers optional safety tools that may include in-app messaging, live location sharing, and a one-tap "SOS" feature that uses a third-party emergency-response integration to connect you to 911 and share your location, and that may also alert pre-set trusted contacts and Baela.
THESE ARE TOOLS ONLY. THEY ARE NOT A GUARANTEE OF SAFETY AND ARE NOT A BAELA-PROVIDED EMERGENCY, SECURITY, RESCUE, MEDICAL, OR LAW-ENFORCEMENT SERVICE. The safety tools depend on factors outside Baela's control, including device functionality, network and GPS availability, third-party providers, and emergency-response personnel, and they may be unavailable, delayed, or inaccurate. Baela does not monitor interactions in real time and does not dispatch or provide emergency response. IN AN EMERGENCY, OR IF YOU FEEL UNSAFE, CALL 911 OR YOUR LOCAL EMERGENCY NUMBER DIRECTLY.
You acknowledge that beauty and wellness Services are performed in person, including in salons, studios, suites, and private homes, and that in-person interactions carry inherent risks. You voluntarily assume all risks associated with in-person Services and with meeting and interacting with other users. To the fullest extent permitted by law, Baela is not responsible or liable for the acts or omissions of any Provider, Client, or other third party, including any harm, injury, loss, or damage arising from an in-person interaction or Service.
10. Payments, Fees, and Refunds
- Processing. Payments are processed by Stripe under its own terms. Baela does not store full payment card numbers.
- Commission and tips. Baela charges Providers a commission of 15% per Booking; founding-cohort Providers (the first 100) are charged 10%, locked for the life of their account. Providers keep 100% of tips.
- Authorization and capture. A Client's payment method is authorized at Booking and captured after the Services are performed.
- Refunds. Refunds, deposit forfeitures, and related charges are governed by the Cancellation Policy.
- Chargebacks and disputes. If a payment is disputed or charged back, Baela and its payment processor may investigate, place holds, and recover amounts owed. You agree to cooperate in good faith to resolve payment disputes.
- No off-platform circumvention. Clients and Providers introduced through the Platform must transact Bookings, payments, and disputes through the Platform and may not arrange or pay for such Bookings off-platform to avoid fees, as further described in Section 11.
11. Anti-Circumvention
The Platform's value depends on Bookings and payments flowing through it. Once a Client and Provider are introduced or connected through the Platform, they agree to make and pay for Bookings through the Platform and not to solicit, arrange, accept, or make payment for such Bookings off-platform for the purpose of avoiding Baela's fees or these Terms. Baela may treat off-platform circumvention as a material violation and may suspend or remove the responsible accounts, recover unpaid fees, and pursue other remedies available under these Terms or applicable law.
12. User Content and Intellectual Property
You retain ownership of the Content you submit. By submitting Content, you grant Baela a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to host, store, use, reproduce, modify, edit, crop, adapt, create derivative versions of, publish, display, and distribute that Content, and to add Baela's names, marks, and branding, for: (a) operating, promoting, and improving the Platform; and (b) Baela's own marketing and advertising of the Platform across any channel or medium, including Baela's website and email, Baela's own social-media accounts (for example, Instagram and TikTok), and paid advertising. This means Content you submit may be reformatted, branded, and used in Baela's general marketing, not only on your own listing. This license continues for Content you have made public or shared until that Content is removed, except that Baela is not required to recall or withdraw marketing or advertising already published or distributed before removal, and reasonable backup and legal-retention copies may persist. To the extent permitted by law, you waive any moral rights and rights of attribution in the Content as used under this license.
You represent and warrant that you own or have all necessary rights, consents, permissions, and releases for your Content, including any publicity, privacy, and likeness releases for every person depicted, sufficient to permit the uses licensed to Baela above, including Baela's marketing and advertising use, and that your Content does not infringe or violate the rights of any third party or any law.
Baela may, but is not obligated to, monitor, review, screen, or remove Content, and may remove or restrict any Content at its discretion, including Content that violates these Terms. Baela is not responsible for Content submitted by users.
The Platform and its software, design, text, graphics, logos, trademarks, and other materials are owned by Baela or its licensors and are protected by intellectual-property laws. "Baela" and related names and logos are marks of Baela. Except as expressly permitted, you may not copy, modify, distribute, or create derivative works from the Platform or our marks.
If you believe Content infringes your copyright, you may send a notice to our designated agent under the Digital Millennium Copyright Act (DMCA). Notices may be sent to our designated agent at legal@baela.app. Baela may remove allegedly infringing Content and terminate repeat infringers.
If you provide suggestions or feedback, you grant Baela a perpetual, irrevocable, royalty-free license to use it without restriction or obligation to you.
AI Features and AI-Generated Content
Baela offers optional features that use artificial intelligence to help Providers create marketing and promotional materials, including suggested captions, hashtags, graphics, and short-form video, and may use AI to generate suggestions, summaries, or other outputs within the Platform. These features are tools that produce suggestions for your review.
You are responsible for any content you create with, edit using, or publish through these features. AI outputs may be inaccurate, incomplete, or unsuitable, and Baela does not warrant the accuracy, quality, or fitness of any AI-generated output. You must review AI-assisted content before publishing it, and you must ensure that anything you publish is truthful, substantiated, lawful, not misleading, and does not infringe any person's rights.
Without limiting the Prohibited Conduct section, you agree that you will not use any AI feature to: (a) create or publish fake, fabricated, or misrepresented reviews, ratings, endorsements, or testimonials; (b) present "before and after," results, or demonstration imagery that misrepresents actual results or that has been altered in a way that would mislead a reasonable consumer; (c) generate images or likenesses of any person without the rights and consents required by law; or (d) make any claim about a service, outcome, or qualification that is not truthful and substantiated. Where required by law or Baela policy, AI-generated or materially altered content must be disclosed or labeled as such.
AI may be used to create illustrative or promotional marketing imagery, provided that it is identifiable as promotional and is not presented as the actual result of any specific client's service. Imagery offered as a real result or "before and after" must depict a genuine result and must not be generated or altered by AI in a way that misrepresents what occurred.
Baela describes its AI features by what they actually do and does not represent that they do more. The availability of AI features does not transfer responsibility for published content to Baela. That responsibility remains with the Provider or user who publishes it.
13. Prohibited Conduct
You agree not to, and not to allow others to, do any of the following on or through the Platform:
- Harass, threaten, abuse, stalk, or intimidate any person;
- Engage in or solicit sexual misconduct, non-consensual contact, or any sexual service;
- Discriminate against any person on the basis of race, color, national origin, religion, sex, gender identity, sexual orientation, disability, age, or any other protected characteristic;
- Engage in any illegal activity or provide or solicit any unlawful service;
- Commit fraud, collusion, deceptive practices, or fee avoidance, including circumventing the Platform's payments as described in Section 11;
- Misrepresent your identity, qualifications, licensing, or affiliation, or impersonate any person;
- Post false, misleading, infringing, defamatory, obscene, or harmful Content;
- Create unsafe conditions or fail to maintain a safe environment for an in-person or in-home Service;
- Scrape, crawl, harvest, or use automated means to access or extract data from the Platform without authorization;
- Interfere with, disrupt, reverse engineer, or attempt to gain unauthorized access to the Platform or its security; or
- Use the Platform in any manner that violates these Terms or applicable law.
Baela maintains a zero-tolerance posture toward harassment, sexual misconduct, discrimination, illegal activity, and fraud. Violations may result in suspension, removal, or a permanent ban. Conduct on the Platform may be logged and acted upon, and may be reported to authorities where appropriate.
14. Third-Party Services
The Platform relies on third-party services, including the payment processor (Stripe), one or more consumer reporting agencies for background checks, an emergency-response integration for the SOS feature, mapping and location providers, and other vendors. These services are provided by independent third parties under their own terms and privacy policies. Baela does not control and is not responsible for third-party services, and your use of them is at your own risk and subject to their terms.
15. Disclaimers of Warranties
THE PLATFORM AND ALL CONTENT AND SERVICES ACCESSED THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, BAELA DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
BAELA DOES NOT WARRANT OR GUARANTEE THE IDENTITY, QUALIFICATIONS, LICENSING, BACKGROUND, CONDUCT, SAFETY, OR RELIABILITY OF ANY PROVIDER OR CLIENT, OR THE QUALITY, SAFETY, LEGALITY, OR OUTCOME OF ANY SERVICES. BAELA DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
16. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, BAELA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE PLATFORM, THE SERVICES, OR THESE TERMS, WHETHER BASED ON CONTRACT, TORT, OR ANY OTHER THEORY, AND WHETHER OR NOT BAELA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, BAELA'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO BAELA IN THE 6 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) $100.
Some jurisdictions do not allow the limitation or exclusion of certain damages, so some of the above limitations may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law.
17. Indemnification
To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Baela and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or relating to: (a) your access to or use of the Platform; (b) your Content; (c) any Services you provide or receive; (d) your interactions with any other user; (e) your violation of these Terms or applicable law; or (f) your violation of the rights of any third party. Baela reserves the right to assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate.
18. Dispute Resolution; Binding Arbitration; Class-Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.
18.1 Informal Resolution
Before initiating arbitration, you and Baela agree to first try to resolve the dispute informally by sending a written notice describing the dispute to legal@baela.app or to the notice address in Section 24, and allowing at least 30 days for the parties to attempt resolution in good faith.
18.2 Binding Arbitration
Except as provided below, any dispute, claim, or controversy arising out of or relating to the Platform or these Terms will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The arbitration will be conducted in Hennepin County, Minnesota, or by videoconference, and the arbitrator's award may be entered in any court of competent jurisdiction. The Federal Arbitration Act governs the interpretation and enforcement of this Section.
18.3 Class-Action and Jury-Trial Waiver
YOU AND BAELA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. YOU AND BAELA WAIVE ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION.
18.4 Small-Claims Carve-Out
Either party may bring an individual claim in small-claims court if it qualifies and remains in that court. Claims of intellectual-property infringement or misuse, and requests for injunctive relief, may be brought in court as permitted by law.
18.5 30-Day Opt-Out
You may opt out of this arbitration agreement within 30 days after first accepting these Terms by sending written notice of your decision to opt out to legal@baela.app or to the notice address in Section 24, including your name, account information, and a clear statement that you wish to opt out of arbitration. If you opt out, the class-action and jury-trial waivers will not apply to you, and disputes will be resolved in the courts identified in Section 19.
18.6 Mass Arbitration and Batching
18.7 Severability
If the class-action waiver in Section 18.3 is found unenforceable as to a particular claim or request for relief, then that claim or request will be severed and may proceed in court, while all other claims will proceed in arbitration. If any other part of this Section 18 is found unenforceable, the remainder will continue in effect.
19. Governing Law and Venue
These Terms and any dispute arising out of or relating to them or the Platform are governed by the laws of the State of Minnesota, without regard to its conflict-of-laws rules. Subject to Section 18, you and Baela consent to the exclusive jurisdiction and venue of the state and federal courts located in Hennepin County, Minnesota for any matter not subject to arbitration.
20. Term, Suspension, and Termination
These Terms remain in effect while you use the Platform. You may stop using the Platform and close your account at any time, subject to completing any pending Bookings and obligations. Baela may suspend, restrict, or terminate your access to the Platform, in whole or in part, at any time, with or without notice, for any violation of these Terms, for risk, safety, fraud, or legal reasons, or as otherwise permitted by law.
Upon termination, your right to use the Platform ceases. Termination does not relieve you of obligations incurred before termination, including payment obligations. The provisions that by their nature should survive termination will survive, including Sections 4, 8, 9, 10, 11, 12, 15, 16, 17, 18, 19, 23, and 24.
21. Changes to the Terms
Baela may update these Terms from time to time. If we make material changes, we will provide notice through the Platform or by other reasonable means and update the "Last updated" date. Changes are effective when posted unless stated otherwise. Your continued use of the Platform after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Platform.
22. Electronic Communications and Notices
You consent to receive communications, agreements, disclosures, and notices from Baela electronically, including by email, through the Platform, or by other electronic means, and you agree that electronic records and signatures satisfy any legal requirement that communications be in writing. Notices to you are given when sent to the email or account associated with your account or posted on the Platform. Notices to Baela must be sent to legal@baela.app.
23. Miscellaneous
- Entire agreement. These Terms, together with the Privacy Policy, the Cancellation Policy, and any Provider Agreement, constitute the entire agreement between you and Baela regarding the Platform and supersede prior agreements on that subject.
- Severability. If any provision is found unenforceable, it will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in effect.
- No waiver. Baela's failure to enforce any provision is not a waiver of its right to do so later.
- Assignment. Baela may assign these Terms or its rights and obligations, in whole or in part, including in connection with a merger, acquisition, or sale of assets. You may not assign these Terms without Baela's prior written consent.
- Force majeure. Baela is not liable for any delay or failure to perform due to causes beyond its reasonable control.
- Headings. Headings are for convenience only and do not affect interpretation.
- Relationship of the parties. Baela operates solely as a venue. Providers are independent contractors, and nothing in these Terms creates any employment, agency, partnership, or joint-venture relationship between Baela and any user.
